Gormedic – Terms and Conditions

These Terms and Conditions (“Terms”) apply to all sales, exchanges, repairs, and services provided by Gormedic ApS (“Gormedic”, “we”, “us”) to its customers (“Customer”, “you”).
These Terms constitute the entire agreement between the parties and supersede all prior agreements, representations, or communications, whether oral or written.

These Terms apply exclusively to business-to-business (B2B) transactions.

1. General Terms

Legal Framework
1.1 These Terms form an integral part of all quotations, order confirmations, deliveries, and services provided by Gormedic unless expressly agreed otherwise in writing.

1.2 Any deviation from these Terms shall only be binding if confirmed in writing by an authorized representative of Gormedic.

1.3 Gormedic reserves the right to amend these Terms at any time. The version in force at the time of order confirmation shall apply.

2. Sales of Medical Equipment

2.1 Orders and Contract Formation
A binding contract is formed only upon written order confirmation issued by Gormedic.
2.2 Delivery and Acceptance
The Customer shall inspect all products immediately upon delivery. Any visible damage, shortages, or non-conformities must be notified to Gormedic in writing no later than three (3) business days after receipt.

Failure to notify within this period constitutes acceptance of the delivery.
2.3 Risk of Loss
Unless otherwise agreed in writing, risk of loss or damage shall pass to the Customer upon handover of the goods to the carrier, in accordance with applicable Incoterms®.
2.4 Title Retention
Ownership of the goods shall remain with Gormedic until full payment has been received.
2.5 Export Control and Sanctions
The Customer warrants that all products purchased from Gormedic will be used and exported in compliance with EU export control regulations and applicable international sanctions regimes. The Customer is responsible for obtaining any required licenses or approvals.

3. Exchange of Medical Equipment

3.1 Exchange Basis
Where products are sold on an exchange basis, the Customer must return equipment of the same or compatible type, as determined by Gormedic.
3.2 Return Authorization
All exchange returns require a valid Return Material Authorization (RMA) issued by Gormedic prior to shipment.
3.3 Condition and Acceptance
Returned exchange equipment must:

1. Be complete and unaltered

2. Retain original serial numbers and labels

3. Be received within thirty (30) days of shipment unless otherwise agreed

All exchanges are subject to inspection and approval by Gormedic. Unacceptable exchanges may result in additional charges.
3.4 Logistics and Costs
All shipping, insurance, customs duties, taxes, and related costs associated with exchanges are borne by the Customer unless otherwise agreed in writing.

4. Repair and Service

4.1 Scope of Services
Repair and service work shall be performed in accordance with the scope agreed in writing following diagnostic evaluation.
4.2 No Obligation to Proceed
Diagnostic evaluation does not obligate the Customer to proceed with repair unless confirmed in writing.
4.3 Warranty on Repairs
Unless otherwise stated, repairs are warranted for ninety (90) days on workmanship and replaced parts, commencing from the date of service completion.

The warranty does not cover failures caused by misuse, improper installation, external power issues, environmental factors, or unauthorized third-party intervention.

5. Returns and Restocking

5.1 General
All returns require a valid RMA issued by Gormedic. Returned products must be properly packed and insured.
5.2 Restocking
Restocking may be accepted within thirty (30) days from shipment, subject to inspection. Restocking fees may apply depending on condition and packaging.

Consumables and certain OEM products may be excluded from restocking eligibility.

6. Warranty Disclaimer

Warranty Disclaimer
Except as expressly stated in these Terms or in a written agreement, Gormedic makes no warranties, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose, to the extent permitted under applicable EU law.

7. Limitation of Liability

Limitation of Liability
To the maximum extent permitted under applicable law, Gormedic shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profit, loss of data, or business interruption.

Gormedic’s total liability shall in all cases be limited to the invoiced value of the product or service giving rise to the claim.

8. Pricing, Billing, and Payment

Pricing, Billing, and Payment
8.1 Invoices are payable in accordance with the payment terms stated on the invoice.

8.2 Late payments may accrue statutory interest in accordance with Directive 2011/7/EU on combating late payment in commercial transactions, as implemented under Danish law.

8.3 The Customer confirms that all purchases are made for professional or commercial use.

9. Credits

Credits
Any credits issued shall be applied to the Customer’s account and must be used within twelve (12) months, unless otherwise agreed in writing.

10. Governing Law and Jurisdiction

Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Denmark, excluding its conflict of law rules.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Danish courts.

11. Entire Agreement

Entire Agreement
These Terms constitute the entire agreement between the parties. No oral statements or prior agreements shall have legal effect unless confirmed in writing by Gormedic.
